These Terms of Service ("Terms") govern your use of websites, online interfaces and general services operated by Infyness LLC ("Infyness," "we," "us," or "our"). By using our website or accepting these Terms through an available acceptance mechanism, you agree to them. If you do not agree, do not use the relevant services. Merely visiting our website does not, by itself, create a data collection, employment, local partnership or data licensing arrangement.
Specific data collection, site-access, local operations, data-supply and customer relationships require separate written agreements. If a separate agreement conflicts with these Terms on a matter it governs, that agreement controls for that matter.
1. Our Services
Infyness organizes and supports real-world data collection, model validation and field testing for artificial intelligence, robotics and Physical AI. Activities may include collection-site sourcing, implementation planning, equipment deployment, data collection, processing, annotation, quality assurance, model evaluation, real-world test execution, performance benchmarking and preparation of validation reports. Testing may take place at authorized manufacturing sites, vocational and technical schools, laboratories, warehouses, logistics facilities and other suitable environments.
Services and deliverables are project-specific. Descriptions on our website do not constitute a guarantee of collection volumes, commercial availability, delivery schedules, data acceptance, model performance, regulatory certification or commercial deployment readiness.
2. Eligibility and Organizational Use
You must have legal capacity and authority to use our services. If acting for an organization, you represent that you may bind the organization to applicable obligations. Organizations are responsible for the actions of their authorized users in connection with their accounts and use of our systems.
Infyness may limit or suspend access where reasonably necessary for safety, security, legal compliance or material violations of these Terms.
3. Participating Sites
A "Participating Site" is an authorized organization or location supporting a collection project, which may include a manufacturing facility, vocational school, training center, laboratory, warehouse, service operation or other suitable setting.
Access rights, site payments, workstations, hours, responsibilities, site authorization and related rights are determined exclusively by the applicable Data Collection Agreement and Statement of Work. Site participation does not transfer its pre-existing intellectual property or trade secrets.
4. Local Operations Partners
Local Partners may source and coordinate Participating Sites, support collection planning and equipment deployment, oversee on-site processes and assist with data quality and incident response.
They are independent service providers unless a signed agreement specifies otherwise. A Local Partner does not obtain ownership of Project Data or the right to sell or license it through involvement in operations. Setup fees, revenue shares and obligations are defined in a separate partnership agreement.
5. Data Collection Principles
Projects are intended to collect non-personal data regarding tasks, object interactions, tool use, manual operations, workstation activities and related technical signals. Commercial training datasets must exclude personal data, unauthorized third-party confidential information and legally restricted data.
Collection setups must be reviewed to minimize the chance of capturing identifying information. If personal or otherwise prohibited information is incidentally captured, affected records must be isolated and handled lawfully, and must not be delivered as qualified commercial data. Collection must be modified or stopped if this requirement cannot be met.
This project-dataset restriction is distinct from the ordinary business contact, account, communications and technical usage information that Infyness may process to operate its website and manage business relationships. Such information is governed by our separate Privacy Notice and applicable law.
6. Project Data and Existing Intellectual Property
"Project Data" means the data expressly defined in a signed project agreement and generated or processed under that authorized collection project. It may include task recordings, sensor outputs, relevant metadata, annotations and processed datasets within the approved scope.
Each party retains its pre-existing intellectual property, technology, methodologies, documents and confidential information. The ownership, assignment or commercial licensing of Project Data is governed by the applicable written Data Collection and Commercial License Agreement. Customer-provided AI models, weights, algorithms, software and robotics technologies remain subject to the customer’s intellectual property rights and applicable written testing agreement. These Terms do not independently assign ownership of any such assets.
Infyness supplies or licenses data only to the extent permitted by the upstream authorizations and applicable law.
7. Approved U.S. Customers and Permitted Use
The current data-supply program is intended for approved AI, robotics and Physical AI customers genuinely operating in the United States. U.S. incorporation alone does not establish eligibility. Infyness may reasonably review the customer’s legal identity, ownership/control, actual end users, permitted purposes and data-access locations.
Approved uses may include model training, robotics research, evaluation, benchmarking, algorithm development and agreed product improvement, as further detailed in the customer’s written data-supply agreement. No customer receives rights beyond those expressly licensed.
8. Geographic Restrictions and Third-Country Use
The default authorized commercial supply route is from the country of collection to an approved U.S. customer, subject to the applicable agreements and law. Project Data and substantially equivalent or recoverable copies may not be transferred, licensed, disclosed, hosted for use or accessed in a third country without (i) a separate written supplemental agreement executed by the relevant contracting parties and (ii) explicit prior written approval from the Participating Site or other legally authorized data source.
These conditions apply to third-country access by affiliates, parent companies, subcontractors and other service providers. U.S. company registration must not be used to bypass these restrictions.
The rights and territorial treatment of independently developed models or software trained on licensed data, as distinct from transfer of the original or reconstructable Project Data, are governed by the customer agreement. No broader model-output restriction should be inferred from these Terms alone.
9. Data Quality and Acceptance
Project-specific technical specifications, collection-hour definitions, workstation qualification and data acceptance criteria appear in the applicable Statement of Work. Infyness or the authorized data purchaser assesses submitted data against these requirements.
Raw collection time is not automatically equivalent to accepted qualified data. Nonconforming data may require correction, recollection or rejection according to the applicable agreement.
10. Model Validation and Field Testing Services
Infyness may provide real-world testing, evaluation, benchmarking and validation services for customer-provided AI models, robotic systems, software and related technologies in authorized operating environments. Depending on the agreed Statement of Work, these services may include scenario design, deployment support, execution of defined test tasks, measurement of task completion, accuracy, reliability and failure conditions, preparation of testing records and reports, and repeat testing across model versions.
The customer retains its rights in pre-existing models, model weights, algorithms, software, robotics technology and confidential information. Unless separately agreed in writing, Infyness receives only the limited permissions necessary to perform the authorized tests. Infyness retains its pre-existing evaluation methods, procedures, tools and know-how. Ownership, licensing, retention, confidentiality and any training or publication use of generated performance records, failure logs, reports and other validation results must be stated in the project-specific agreement; such validation materials are not automatically available for resale as Project Data.
Validation results are limited to the stated test tasks, configurations and conditions. Unless a signed agreement expressly provides otherwise, Infyness does not guarantee performance in other environments, certify product safety, provide governmental or regulatory approval, or warrant commercial deployment readiness. Field testing involving physical systems is subject to appropriate site authorization, applicable safety protocols, allocation of equipment responsibility and any required insurance under the relevant project agreement.
11. Equipment and Systems
Equipment, software and technical tools supplied by Infyness or its providers remain the property of their respective owners unless agreed otherwise. Authorized users must follow operating and safety instructions and must not copy, tamper with, reverse engineer or access protected systems without permission, except where prohibited by law.
Installation, replacement, maintenance, insurance and liability for loss or damage are assigned under the relevant project agreements.
12. Confidentiality
You must safeguard non-public information received in connection with Infyness, including customer identities, technical specifications, pricing, source-site information, security procedures and proprietary project data. Use or disclosure is permitted only for approved purposes or as required by law.
More detailed confidentiality, retention and return obligations may be established in NDAs and other signed agreements.
13. Acceptable Use
You must not use Infyness systems or services for unlawful activity, knowingly submit data without rights, misrepresent data origin, violate geographic restrictions, disclose confidential information without authority, harvest personal data, introduce malicious software, interfere with service security or claim Infyness endorsement without permission.
Access may be suspended for a reasonable investigation of suspected material breaches.
14. Fees and Commercial Arrangements
Setup fees, collection rates, qualified hours, project advances, revenue shares, customer prices, model validation and field testing fees, and payment terms are agreed in project-specific written contracts. Indicative prices or case studies do not constitute a binding offer.
Infyness does not promise future purchase volumes, recurring site utilization or partner revenue unless a signed agreement expressly provides a commitment.
15. Personnel and Independent Relationships
These Terms do not, by themselves, create employment, agency, franchise, joint venture or fiduciary relationships. Each party remains responsible for obligations toward its own personnel, subject to mandatory law and the actual working relationship.
Where educational institutions, trainees or students participate in an activity, the relevant parties must address lawful participation, safety, supervision and compensation separately.
16. Security and Incident Reporting
Infyness seeks to apply reasonable access, storage, transmission, data-integrity and incident-management safeguards appropriate to the work. Users and partners must protect credentials, equipment and any Project Data they are authorized to handle, and notify Infyness promptly of suspected loss, unauthorized access or disclosure.
Specific technical safeguards, deadlines and liability allocation are defined in signed project agreements.
17. Third-Party Providers
Infyness may engage authorized technical, infrastructure or service providers. Their involvement does not enlarge any party’s rights to data or override geographic and confidentiality restrictions. External services may also be governed by their own terms.
18. Website Content and Intellectual Property
Infyness and its licensors retain rights in their websites, branding, documentation, software and other proprietary content. You receive a limited, revocable right to use publicly available website content for lawful informational and business-evaluation purposes. No right to copy, resell, or exploit proprietary systems or data is implied.
19. Disclaimers
To the extent permitted by applicable law, general website information and features are provided on an "as available" basis without a guarantee of uninterrupted access, fitness for a particular commercial objective or the accuracy of third-party materials.
Specific warranties regarding commercial data quality, collection performance, delivered datasets, testing methods, validation reports or technical deliverables, if any, are set out in the relevant signed agreements. Testing results relate to the tested conditions only, and do not constitute regulatory approval or certification. Nothing in these Terms limits nonwaivable statutory rights.
20. Liability and Indemnity
Liability caps, indemnities, project warranties and remedies applicable to a commercial project must be defined in the signed agreement governing that project. These website Terms do not impose a project-wide monetary limitation by default.
To the extent legally permitted, Infyness is not liable for indirect or consequential losses arising solely from use of general informational website content; this does not limit liability that cannot lawfully be excluded.
21. Suspension, Termination and Survival
Infyness may suspend general service access where reasonably necessary for material breach, security concerns or legal compliance. Termination of a commercial relationship, treatment of existing data licenses, outstanding fees, deletion and post-termination duties are determined by its signed agreement.
Confidentiality, intellectual property, accrued obligations, data-use restrictions and provisions intended to survive termination remain effective to the extent applicable.
22. Governing Law and Disputes
For disputes arising solely under these website Terms, and not governed by another signed agreement, the laws of the State of Wyoming, United States, apply without regard to conflict-of-laws principles, subject to mandatory law. The state and federal courts serving Sheridan County, Wyoming shall have jurisdiction over such disputes, to the extent permitted by applicable law.
Project, local partner, collection-site and customer agreements may contain their own governing-law and dispute-resolution clauses, which control their respective subject matter.
23. Changes to These Terms
Infyness may revise these Terms by publishing an updated version and a new last-updated date. Where legally required, we will provide additional notice or obtain consent. Changes do not automatically alter an existing signed commercial agreement.
